End User License Agreement (EULA)

This End User License Agreement ("EULA" or "License") is a legal agreement between you, either an individual or a single legal entity ("Licensee", "you"), and Crestora Property Group LLC, a Florida limited liability company operating the Modkor brand ("Crestora Property Group", "Modkor", "Licensor", "we", "us").
This EULA governs your installation and use of Modkor software modules, extensions, plug-ins, themes, child themes, and any related source code, configuration, documentation, updates, and license keys (each, a "Product" and collectively, the "Software"). By downloading, installing, copying, activating a license key for, or using any Product, you agree to be bound by this EULA. If you do not agree, do not download, install, or use the Software, and request a refund in accordance with the Refund and Returns Policy if eligible.
The Software is licensed, not sold. We retain all ownership of the Software.
1. Definitions
- Production Domain — the single live, public-facing domain (and its store views and sub-domains operated as one storefront) on which a Product is authorized to run under a given license key, as recorded in the license key payload.
- License Key — the signed, domain-bound activation string we issue per purchase, in the form
MK1.<payload>.<signature>, which records the licensed domain, plan, modules, and expiry, and which you paste into the Modkor admin to activate a Product at runtime. - Composer Access Keys — the account-bound credentials (a public/private key pair used in your
auth.json) that authenticate you to our private Composer repository so you can download and install purchased Products viacomposer requireand receive updates. - Customer Portal — your account at www.modkor.com where your Composer Access Keys, License Keys, purchases, downloads, and entitlements are managed.
- Private Repository — the Modkor Composer repository from which licensed Products are distributed.
- Development/Staging Environment — non-public environments used solely for development, testing, or staging (for example hosts ending in
.test,.localhost,.local,.ddev.site, orlocalhost/127.0.0.1), which do not require a separate license key. - Subscription Term — the period for which your license and any included updates and support are active, as shown at purchase.
2. Grant of license
Subject to your compliance with this EULA and full payment, Crestora Property Group grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
a. install and use each purchased Product on the single Production Domain associated with that Product's License Key; b. install and use the Product on a reasonable number of Development/Staging Environments that support that same Production Domain, for development, testing, and staging only; c. modify the non-encrypted source files of the Product for your own internal use on the licensed Production Domain, provided you do not remove or alter any copyright, license, or proprietary notice; and d. make backup copies reasonably necessary to operate and protect your licensed installation.
Each license authorizes one Production Domain per Product unless you purchase additional domain licenses or a multi-domain/extended license. If you operate multiple live storefronts on separate domains, each domain requires its own license.
3. Distribution, license model, and activation
Distribution. Products are distributed through our Private Repository and installed using Composer (composer require modkor/...). On purchase, your Customer Portal is automatically provisioned with your Composer Access Keys and License Key(s). You authenticate to the Private Repository using your Composer Access Keys (in auth.json). Your entitlement to download a Product and its updates is tied to your account and to a valid, unexpired license and Support and Update Term.
Composer Access Keys. Composer Access Keys are personal to your account and confidential. You may use them only to download Products you have licensed, for installation on the environments permitted by this EULA. You may not share, publish, or transfer your Composer Access Keys, embed them in publicly accessible files or repositories, or use them to download Products you have not licensed. We may regenerate or revoke Access Keys, and may limit download access, in case of misuse, non-payment, refund, or breach.
Runtime activation. The Software also uses a per-purchase, domain-bound license key signed with our private key and verified on your server with the public key we ship. The License Key records the authorized domain, plan, included modules, and expiry. Activation requires entering your License Key in the Modkor admin configuration.
The runtime license check is designed to fail soft: an invalid, missing, expired, or mismatched key surfaces an administrator warning and may disable update eligibility, but is not designed to break your storefront. You agree not to tamper with, bypass, spoof, or circumvent the licensing mechanism, the Composer authentication, the signature verification, or any domain check, and not to falsify the host or domain reported to the Software. Development and staging hosts are exempt from runtime key validation as a convenience and must not be used to operate a live storefront.
4. Restrictions
Except as expressly permitted by this EULA or by mandatory applicable law, you may not:
- distribute, resell, sublicense, rent, lease, lend, share, or transfer the Software, any License Key, or your Composer Access Keys to any third party;
- publish, post, or make the Software, License Keys, or Composer Access Keys available for download, including in any public or private repository, marketplace, package mirror, or file host;
- use your Composer Access Keys to download Products you have not licensed, or to enable any third party to obtain the Software;
- use a single License Key on more than the licensed number of Production Domains, or move a license to a different domain except via a domain-transfer request approved by us;
- remove, disable, obscure, or circumvent the licensing, activation, signature, or domain-validation features;
- decompile, disassemble, or reverse engineer any encrypted, compiled, or obfuscated component, except to the limited extent this restriction is prohibited by applicable law;
- use the Software, in whole or in part, to design, develop, or distribute a product or service that competes with Modkor, or to copy its features, structure, or code for a competing extension;
- represent the Software as your own or distribute it (modified or not) under another brand; or
- use the Software in violation of any applicable law or the Acceptable Use Policy.
5. Ownership and intellectual property
The Software is protected by copyright and other intellectual-property laws and treaties. Crestora Property Group and its licensors own all right, title, and interest in and to the Software, including all copies, modifications, and derivative works, and all related intellectual-property rights. "Modkor" and the Modkor logo are trademarks of Crestora Property Group. No rights are granted except those expressly stated in this EULA. Any modifications you make to the source remain subject to our underlying ownership and to this EULA.
6. Updates and support
Whether your license includes software updates and technical support, and for how long, depends on the product and plan you purchased and is governed by the Support and Update License Agreement. Updates provided to you become part of the "Software" and are subject to this EULA. After your update entitlement ends, you may continue using the last version you lawfully obtained, but you are not entitled to new versions unless you renew.
7. Term, expiry, and renewal
This EULA is effective on first download, installation, or activation and continues until terminated. If your purchase includes a Subscription Term, the license to receive updates and support is limited to that term and may be renewed. The expiry recorded in your License Key controls update eligibility. Unless a product is sold as a fixed-term or time-limited license, your right to use the last lawfully obtained version on your licensed domain continues even after update/support entitlement lapses, subject to this EULA. If your plan is a recurring subscription, it renews automatically unless you cancel before the renewal date, as described in the Terms and Conditions and the Support and Update License Agreement.
8. Termination
This EULA terminates automatically if you breach any of its terms, including the restrictions in Section 4. We may also terminate or suspend a License Key for non-payment, chargeback, fraud, or material breach. On termination you must stop using and uninstall and delete all copies of the affected Software, and any License Keys for it are void. Termination does not entitle you to a refund except as provided in the Refund and Returns Policy. Sections 4, 5, 9, 10, 11, 12, and 13 survive termination.
9. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, BE COMPATIBLE WITH YOUR SPECIFIC ENVIRONMENT OR THIRD-PARTY EXTENSIONS, OR THAT DEFECTS WILL BE CORRECTED. YOU ASSUME THE ENTIRE RISK OF INSTALLING AND USING THE SOFTWARE AND ARE RESPONSIBLE FOR MAINTAINING COMPLETE BACKUPS BEFORE INSTALLATION AND UPDATES.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRESTORA PROPERTY GROUP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY UNDER THIS EULA WILL NOT EXCEED THE FEES YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
11. Indemnification
You agree to indemnify and hold harmless Crestora Property Group from any claim, damage, or expense (including reasonable legal fees) arising from your use or modification of the Software, your breach of this EULA, or your violation of any law or third-party right.
12. Export, sanctions, and compliance
You represent that you are not located in, and will not use or export the Software in violation of, any applicable export-control or sanctions laws of the United States or other applicable jurisdictions, and that you are not on any restricted-party list.
13. Governing law and venue
This EULA is governed by the laws of the State of Florida, United States, without regard to conflict-of-laws rules, and the exclusive venue for disputes is the state or federal courts located in Brevard County, Florida. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
14. General
This EULA, together with the Terms and Conditions and the Support and Update License Agreement, is the entire agreement regarding the Software. If any provision is unenforceable, the rest remains in effect. We may update this EULA for future versions of the Software; the version you accepted at download governs that copy, and continued use after an update with a new "Last updated" date constitutes acceptance for newly obtained versions. You may not assign this EULA; we may assign it in connection with a corporate transaction.
